1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Direct Collabs ("Company," "we," "our," or "us") governing your access to and use of the Direct Collabs website and application (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old.

2. Description of Service

Direct Collabs is a platform designed for content creators to manage their brand deals, sponsorships, and business communications. Our Service includes:

  • Social media platform integrations (YouTube, X, LinkedIn, Pinterest, Snapchat, Kick, and others)
  • Rate card management for setting content prices
  • Deal pipeline tracking and management
  • Email communication tools
  • Invoice creation and payment processing (via Stripe)
  • Stripe Connect integration for creators to receive payments from brands
  • Analytics and reporting features

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Account Terms

3.1 Account Creation

To use certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Account Security

You are responsible for safeguarding your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Subscription and Billing

4.1 Free Trial

We offer a 3-day free trial for new users. During the trial period, you will have access to all features of the Service. At the end of the trial period, you will be automatically charged for the subscription unless you cancel before the trial ends.

4.2 Subscription Fees

The Service is offered at $10.00 per month. By subscribing, you authorize us to charge your payment method on a recurring monthly basis.

4.3 Payment Processing

All subscription payments are processed securely through Stripe. By providing your payment information, you authorize us to charge your payment method for all fees incurred. You agree to Stripe's Terms of Service and the Stripe Connected Account Agreement (if you use Stripe Connect).

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will retain access to the Service until the end of your current billing period
  • No refunds will be provided for partial months
  • Your data will be retained for 30 days after cancellation, after which it may be deleted
  • Outstanding invoices you have sent will remain active and payable; any pending payouts will be processed by Stripe according to their standard schedule

4.5 Price Changes

We reserve the right to change our subscription fees. We will provide at least 30 days' notice of any price changes. Continued use of the Service after the price change constitutes acceptance of the new pricing.

5. Invoicing and Creator Payments

5.1 Stripe Connect

To receive payments from brands through our platform, you must set up a Stripe Connect account. By onboarding to Stripe Connect, you agree to the Stripe Connected Account Agreement, which includes Stripe's terms for identity verification, payouts, and fraud prevention. Direct Collabs is not responsible for Stripe's onboarding requirements or verification processes.

5.2 Invoice Creation and Delivery

Our Service allows you to create and send invoices to brands. When you create an invoice through our platform:

  • You are solely responsible for the accuracy of invoice details, including amounts, descriptions, and recipient information
  • Invoices sent via our platform (“platform invoices”) are processed through Stripe, and brands pay via a Stripe-hosted payment page supporting card, ACH, and wire transfer
  • You may also create invoices with your own payment instructions (“direct invoices”), which are tracked in our system but not processed through Stripe
  • Direct Collabs does not guarantee payment from brands and is not a party to the agreement between you and the brand

5.3 Platform Fees

For invoices processed through our platform via Stripe, Direct Collabs charges a 1% platform fee on each successfully paid invoice. This fee is deducted from the payment amount before funds are deposited to your Stripe Connect account. Standard Stripe processing fees also apply and are set by Stripe.

5.4 Payouts

Payouts for platform-processed invoices are handled by Stripe according to their standard payout schedule. Direct Collabs does not control payout timing, holds, or delays imposed by Stripe. You are responsible for ensuring your Stripe Connect account is in good standing to receive payouts.

5.5 Payment Disputes and Refunds

If a brand disputes a payment or requests a chargeback on a platform-processed invoice:

  • The dispute will be handled in accordance with Stripe's dispute resolution process
  • You are responsible for providing evidence to support the legitimacy of the charge
  • Direct Collabs is not liable for disputed amounts, chargebacks, or any associated fees imposed by Stripe
  • We may assist in providing transaction records, but the dispute remains between you, the brand, and Stripe

5.6 Tax Obligations

You are solely responsible for determining, collecting, reporting, and remitting any applicable taxes related to payments you receive through the Service. Direct Collabs does not provide tax advice and is not responsible for your tax obligations.

6. User Responsibilities

When using our Service, you agree to:

  • Use the Service only for lawful purposes
  • Comply with all applicable laws and regulations
  • Respect the intellectual property rights of others
  • Not use the Service to send spam or unsolicited communications
  • Not attempt to gain unauthorized access to any systems or networks
  • Not interfere with or disrupt the Service or servers
  • Not upload malicious code, viruses, or harmful content
  • Not impersonate any person or entity
  • Not use the Service for any fraudulent or illegal activity

7. Social Platform Integrations

When you connect third-party social media accounts to our Service:

  • You authorize us to access your account information as permitted by those platforms
  • You agree to comply with each platform's terms of service
  • We are not responsible for any changes or restrictions imposed by third-party platforms
  • You may disconnect your social accounts at any time through your account settings

8. Intellectual Property

8.1 Our Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Direct Collabs. The Service is protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain ownership of any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas, you grant us the right to use such feedback without any obligation to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Merchantability and fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of content
  • Uninterrupted or error-free operation
  • Security of data transmission

We do not warrant that the Service will meet your requirements or that any errors will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DIRECT COLLABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Any damages exceeding the amount you paid us in the 12 months prior to the claim
  • Any losses arising from payment disputes, chargebacks, or failed transactions processed through Stripe
  • Any delays or failures in payouts through Stripe Connect

These limitations apply regardless of the legal theory under which damages are sought.

11. Indemnification

You agree to indemnify and hold harmless Direct Collabs and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Fraudulent or illegal activity
  • Failure to pay subscription fees
  • Request by law enforcement or government agencies

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Collin County, Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Collin County, Texas.

14. Dispute Resolution

Before filing any legal claim, you agree to first contact us and attempt to resolve the dispute informally. If we are unable to resolve the dispute within 30 days, either party may proceed with formal legal action.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Direct Collabs regarding the use of the Service and supersede any prior agreements.
