1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Direct Collabs ("Company," "we," "our," or "us") governing your access to and use of the Direct Collabs website and application (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old.
2. Description of Service
Direct Collabs is a platform designed for content creators to manage their brand deals, sponsorships, and business communications. Our Service includes:
- Social media platform integrations (YouTube, X, LinkedIn, Pinterest, Snapchat, Kick, and others)
- Rate card management for setting content prices
- Deal pipeline tracking and management
- Email communication tools
- Invoice creation and delivery for creators to bill brands directly
- Analytics and reporting features
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.
3. Account Terms
3.1 Account Creation
To use certain features of the Service, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
3.2 Account Security
You are responsible for safeguarding your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.
4. Subscription and Billing
4.1 Subscription Fees
The Service is offered at $10.00 per month. By subscribing, you authorize us to charge your payment method on a recurring monthly basis starting at signup.
4.2 Payment Processing
All subscription payments are processed securely through Stripe. By providing your payment information, you authorize us to charge your payment method for all fees incurred. You agree to Stripe's Terms of Service.
4.3 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
- You will retain access to the Service until the end of your current billing period
- No refunds will be provided for partial months
- Your data will be retained for 30 days after cancellation, after which it may be deleted
- Outstanding invoices you have created will remain in your records; any payments are made directly between you and the brand
4.4 Price Changes
We reserve the right to change our subscription fees. We will provide at least 30 days' notice of any price changes. Continued use of the Service after the price change constitutes acceptance of the new pricing.
5. Invoicing and Creator Payments
5.1 Invoice Creation and Delivery
Our Service allows you to create and send invoices to brands. When you create an invoice through our platform:
- You are solely responsible for the accuracy of invoice details, including amounts, descriptions, and recipient information
- Invoices include the payment instructions you configure (such as wire, ACH, or PayPal), and brands pay you directly off-platform
- Direct Collabs tracks invoice status based on the information you provide and does not process payments between you and the brand
- Direct Collabs does not guarantee payment from brands and is not a party to the agreement between you and the brand
5.2 Payment Disputes and Refunds
Because payments for invoices are handled directly between you and the brand, any disputes, chargebacks, or refund requests are between you and the brand. Direct Collabs is not liable for disputed amounts and does not process refunds on your behalf.
5.3 Tax Obligations
You are solely responsible for determining, collecting, reporting, and remitting any applicable taxes related to payments you receive through the Service. Direct Collabs does not provide tax advice and is not responsible for your tax obligations.
6. User Responsibilities
When using our Service, you agree to:
- Use the Service only for lawful purposes
- Comply with all applicable laws and regulations
- Respect the intellectual property rights of others
- Not use the Service to send spam or unsolicited communications
- Not attempt to gain unauthorized access to any systems or networks
- Not interfere with or disrupt the Service or servers
- Not upload malicious code, viruses, or harmful content
- Not impersonate any person or entity
- Not use the Service for any fraudulent or illegal activity
7. Social Platform Integrations
When you connect third-party social media accounts to our Service:
- You authorize us to access your account information as permitted by those platforms
- You agree to comply with each platform's terms of service
- We are not responsible for any changes or restrictions imposed by third-party platforms
- You may disconnect your social accounts at any time through your account settings
8. Intellectual Property
8.1 Our Intellectual Property
The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Direct Collabs. The Service is protected by copyright, trademark, and other intellectual property laws.
8.2 Your Content
You retain ownership of any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.
8.3 Feedback
If you provide us with feedback, suggestions, or ideas, you grant us the right to use such feedback without any obligation to you.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Merchantability and fitness for a particular purpose
- Non-infringement
- Accuracy or completeness of content
- Uninterrupted or error-free operation
- Security of data transmission
We do not warrant that the Service will meet your requirements or that any errors will be corrected.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DIRECT COLLABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Any damages exceeding the amount you paid us in the 12 months prior to the claim
- Any losses arising from payment disputes, chargebacks, or failed transactions related to your subscription or invoices
These limitations apply regardless of the legal theory under which damages are sought.
11. Indemnification
You agree to indemnify and hold harmless Direct Collabs and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:
- Breach of these Terms
- Fraudulent or illegal activity
- Failure to pay subscription fees
- Request by law enforcement or government agencies
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Collin County, Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Collin County, Texas.
14. Dispute Resolution
Before filing any legal claim, you agree to first contact us and attempt to resolve the dispute informally. If we are unable to resolve the dispute within 30 days, either party may proceed with formal legal action.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Direct Collabs regarding the use of the Service and supersede any prior agreements.
